The Corporations Division is pleased to announce a new e-filing option which will allow you to check whether a name is available and reserve the name that you intend to use for your company.  The reservation of the name can be paid for by Visa, MasterCard or Amercian Express credit cards. The name reservation will be effective for 120 days and assures that no other person can take the name that you reserve during that period of time.   On-line name reservation will be granted immediately! 

Electronically filing your name reservation for $45 has the advantage of immediately reserving your name so no other customer can take it. However, if you do not need to expedite your name filing, you can also reserve your name by filling out the application for reservation of a corporate name for $10 and mail it to either our Phoenix or Tucson office or you can come into either office and file the form for $10. The address for our Phoenix office is: Arizona Corporation Commission, Corporations Division, 1300 W. Washington, Phoenix, AZ 85002 and for Tucson the address is: 400W. Congress #221 Tucson AZ 85701.    

An important bit of information to consider:  Now that on-line name reservations are available, on-line name reservations will take precedence over all other documents filed on paper and submitted by mail, fax or over-the-counter.  In other words, if we have received your paper reservation or filing, but it has not yet been examined and processed, an e-filer requesting the same name would be granted the name.   

Therefore, we are strongly encouraging you to use this new e-file option so that you have the best possible chance of getting the name you desire.  The name you reserve when e-filing online must include the identifier required in Arizona Revised Statutes (identifiers are words such as "Corporation", "Incorporated", or "Association", “Limited Liability Company”).  For a complete list of corporate identifiers, please refer to the Arizona Corporation Commission Naming Standards. "The Arizona Corporation Commission does not register 'Doing Business As' names".

When completing the name reservation, you will also be asked to indicate what type of entity you intend to form with the reserved name (Business Corporation, Limited Liability Company, etc.) to assure that the name that you want meets the statutory requirements for that type of entity.    

Over-the-counter services will be affected as follows:   If you come to the counter to reserve a name, you will be encouraged to use the computer kiosk in our lobby to reserve your name.  If you choose not to do this, your paper filing may be processed as an expedited filing or a regular filing.  

Should you choose the expedited option for the paper filing, the filing will require an additional expedite fee of $35 and the reservation will be processed in 1-5 working days, depending on volume.  Using this option will come with the risk that an on-line filer could reserve the name you have requested during that 1-5 day period. This is why we are recommending that you reserve your name using the new on-line option.  If it takes more than 5 working days to process your expedited paper reservation and another e-filer takes your name after the 5^th day, you will be entitled to a refund.   A name reservation filed as “regular” at the counter will require only the $10 filing fee, and will take a minimum of five days to process.

Fees:   All Regular filing fees, Expedite and Electronic filing fees are NON REFUNDABLE pursuant to A.R.S §§10-122, 10-2020, 10-2079, 10-2145, 10-3122 & §29-851.  Expedite fees (or any other filing fees) paid for a filing cannot be re-applied to any other subsequent filing.
