Summary of changes in Corporations and LLC statutes made by HB2199 PLEASE NOTE that this is a summary only, and does not detail each and every change made by the bill. Effective Date of the bill: September 30, 2009 All changes will go into effect as of September 30, 2009. The Arizona Corporation Commission website and pertinent forms are being modified to put the changes into effect as of that date. In 2008, SB 1410 removed the publication requirement for Applications for Withdrawal filed by foreign corporations that have transacted business or conducted affairs. HB 2199 replaces that requirement. As of September 30, 2009, Applications for Withdrawal filed by foreign corporations under A.R.S. §§ 10-1520 or 10-11520 must be published. Affects multiple statutes. Filing an affidavit of publication is now optional in all cases where publication is required. If the statute requires publication, the business entity must still publish, but it does not have to file the affidavit of publication. Articles of Incorporation: must still publish, but filing the Affidavit of Publication is not mandatory. LLC Amendments: must still be published unless the amendment is only for certain changes (see A.R.S. §29-633), but filing the Affidavit of Publication is not mandatory. Voluntary dissolution: must still publish, but filing the Affidavit of Publication is not mandatory. The bill clarifies that LLC name reservations are nonrenewable.
